# What are Amendments?

**Overview**  
Almost all changes to your live campaign will require a re-filing with the SEC. There are two types of changes:

1.  **Non-material** changes or amendments. 
2.  **Material** Changes or amendments. [Material amendments](https://docs.google.com/document/d/1zqsAS5EgTeekFI7Z3j0XxsZAVuCSVxQpF2Qbw1mGpjo/edit) are changes that a reasonable investor would consider important in deciding whether or not to purchase the securities.

**Example of Material Changes**

1.  Changes to the planned use of proceeds of the offering; 
2.  Changes to directors, officers, and executives of the issuer; 
3.  Changes to controlling owners (>20% or more for Reg CF); 
4.  Extension of the campaign end date; 
5.  Changes to the minimum/maximum fund goal; and
6.  Changes to perks that reduce its value.

**Reconfirmation**  
Material amendments do require all outstanding investors to reconfirm their investment within 5 business days or these investors will have their investment commitments cancelled. We send three separate emails to those who have not yet reconfirmed their investment before the deadline to ensure investors have the opportunity to reconfirm, should they choose. Who is an outstanding investor? Anyone who has not had their funds closed on via a disbursement. 

For other changes, StartEngine does not determine whether or not a change to your campaign is material, so we recommend you speak to your attorney before making your determination about the type of amendment you would like for us to file on your behalf. 

Do material amendments cost money? Extensions are $1,000 and will be added to the following disbursement.
